digiCliniqERP PLATFORM TERMS AND CONDITIONS
This Agreement (“Agreement”) sets forth the terms and conditions between Amaze, Inc. (“Amaze,” “we,” or “us”) and the individual or entity (“User,” “you,” or “your”) using digiCliniqERP, a clinic management platform. By accessing or using digiCliniqERP, you agree to be bound by these terms and conditions. If you do not agree, you must not use the platform.
1.1. Free Trial: Users are entitled to use digiCliniqERP free of charge for a period of
three (3) months from the date of registration (“Free Subscription Period”).
1.2. Subscription Transition: After the Free Subscription Period, continued access to
digiCliniqERP may require payment of a subscription fee. Users will be notified of the
applicable
fees at least 15 days before the end of the Free Subscription Period.
1.3. Cancellation During Free Period: Users may cancel their use of digiCliniqERP at any
time before the end of the Free Subscription Period to avoid subscription charges. Failure to
cancel will result in automatic subscription activation, and the applicable fees will apply.
2.1. User Data Ownership: All data entered into digiCliniqERP, including but not limited
to
patient records, billing information, and scheduling details, is the sole property of the User.
2.2. Data Access: Users have the right to access and export their data at any time during
their use of digiCliniqERP. Upon cancellation or termination, Users may export their data within
30
days of termination. After this period, Amaze reserves the right to delete the data permanently.
2.3. Data Responsibility: Users are solely responsible for the accuracy, legality, and
integrity of their data.
3.1. Platform Use: digiCliniqERP provided “as is” and “as available.” Amaze makes no
representations or warranties regarding the platform's reliability, accuracy, or fitness for any
purpose.
3.2. No Liability: Amaze shall not be held liable for any damages, losses, or claims,
including but not limited to data loss, business interruption, or financial losses, arising out
of or related to the use of digiCliniqERP.
3.3. User Responsibility: Users acknowledge that the platform is a tool, and they are fully
responsible for how it is used in their clinic operations.
3.4. Misuse of the Platform: The User agrees to use the platform solely for its intended
purpose as outlined in the Terms of Service and applicable documentation. The User acknowledges
that any misuse of the platform, including but not limited to sharing their access credentials
with unauthorized individuals, engaging in activities beyond the scope of the platform’s
intended functionality, or using the platform for unlawful purposes, shall be considered a
violation of these terms.
3.5. Release of Liability: Amaze One shall not be held liable for any damages, losses, or
claims arising from the User’s misuse of the platform, including but not limited to sharing
access credentials, using the platform for unintended purposes, or engaging in unlawful
activities. The User assumes full responsibility for any such misuse and agrees to indemnify and
hold Amaze One harmless from any consequences or liabilities resulting from such actions.
3.6. Termination of Access: In the event of misuse, Amaze One reserves the right to
suspend or terminate the User’s access to the platform immediately, without notice, and without
refund. Such termination does not relieve the User of their obligations under these terms.
4.1. Subscription Activation: If the subscription is not canceled before the Free
Subscription Period ends, the User agrees to pay the applicable subscription fee.
4.2. Automatic Renewal: Paid subscriptions will automatically renew for the same
subscription term (e.g., monthly, annually) unless the User cancels the subscription before the
renewal date.
4.3. Payment Terms: Subscription fees are due as per the payment schedule communicated by
Amaze. Failure to pay may result in suspension or termination of access to digiCliniqERP.
4.4. No Refund Policy: Once a paid subscription is initiated, no refunds will be issued,
regardless of whether the subscription is canceled, terminated, or otherwise discontinued for
any reason.
4.5. Price Adjustments: Amaze reserves the right to adjust subscription fees any time and
shall automatically take effect on the next renewal period of existing Users with active
subscription.
4.6. Resubscription Upon Re-Joining: If the User chooses to re-subscribe to the Service
after termination, the User shall be subject to the then-current subscription fees applicable to
new users at the time of re-subscription. The User understands that they will be required to pay
the new subscription fee, which may differ from the original fee, and agrees to be bound by the
terms applicable to new subscriptions.
4.7. No Carryover of Prior Terms: The User's prior subscription, including any discounts,
promotions, or special pricing, shall not apply upon re-subscription. Upon reactivation, the
User will be considered a new subscriber, and all applicable terms and conditions at that time
will govern the subscription.
5.1. Termination by User: Users may terminate their use of digiCliniqERP at any time by
cancelling subscription. No refunds will be issued for any paid subscription upon termination.
5.2. Termination by Amaze: Amaze reserves the right to terminate a User’s access to
digiCliniqERP for breach of these terms or for any other reason, with or without notice.
5.3. Post-Termination Data Access: Prior to termination, Users must export their data to
avoid data loss. Amaze has no obligation to retain data beyond the active subscription period.
6.1. Ownership: Amaze retains all intellectual property rights to digiCliniqERP, including but not limited to software, logos, trademarks, and other proprietary content. 6.2. License: Users are granted a non-exclusive, non-transferable, revocable license to use digiCliniqERP during the subscription term.
7.1. Users agree to indemnify and hold Amaze harmless from any claims, damages, liabilities, or expenses arising from their use of digiCliniqERP, including but not limited to third-party claims related to data handling, privacy breaches, or improper use of the platform.
8.1. Amaze reserves the right to amend these terms at any time. Users will be notified of significant changes at least 30 days in advance. Continued use of digiCliniqERP after the effective date of the changes constitutes acceptance of the amended terms.
9.1. This Agreement is governed by the laws of [Insert Jurisdiction]. Any disputes arising under or in connection with this Agreement shall be resolved through binding arbitration in [Insert Location].
10.1. This Agreement constitutes the entire understanding between Amaze and the User concerning digiCliniqERP and supersedes any prior agreements.
